Scope and contracting party
These Terms and Conditions cover access to UNIQON and the proposed business-to-business purchase of identified character assets and associated rights. UNIQON is a brand of Skylumina GmbH. The sole website operator and proposed contracting seller is Skylumina GmbH, Horster Park 43, 4731 Raeren, Belgium, enterprise number 0800.882.676. UNIQON and WebWunder are business designations, not separate legal entities. Contact: hallo@webwunder.de.
The catalogue is intended for customers acting in a trade, profession or business. You must have authority to act for the purchasing organisation. We may request reasonable evidence of business capacity. These terms do not remove mandatory rights if a transaction is legally classified differently. There is currently no checkout, payment collection, account service or binding online purchase process.
Website and catalogue information
UNIQON presents fictional characters and welcomes non-binding business enquiries. Characters marked Coming soon are not yet available to purchase. The provisions below describe the intended basis of a future B2B offer, subject to transaction-specific legal review and a separately agreed, signed contract. Submitting an enquiry does not place an order, reserve a character, authorise payment or initiate registration.
A listing, displayed price, enquiry acknowledgement or discussion is not an offer capable of immediate acceptance, a reservation, proof of title or a promise of availability. We may remove or correct a listing before a contract is concluded. A change cannot retrospectively alter an accepted agreement. Character names are working names unless expressly cleared and included in the order.
Enquiries and conditional agreements
An enquiry starts a review of availability, the proposed uses and the rights evidence. It does not initiate a design application. Only after qualified purchase interest, the agreed rights checks and a signed conditional purchase agreement may a filing proceed. There is no automatic registration or automatic rights transfer.
A contract requires a written order accepted by authorised representatives of both parties, identifying the character and incorporating the agreed version of these terms. An expressly negotiated order takes priority where it addresses a point differently, subject to mandatory law. Any later change to scope, deliverables, fees or closing conditions requires mutual written agreement.
Order and rights schedule
The signed order must specify: seller and buyer; character ID and working name; exact versioned images, video, audio and other files with a delivery manifest; intended uses; territories; duration; permitted modification, sublicensing and later transfer; rights included and excluded; third-party licence restrictions; price, currency, VAT and invoicing; agreed review and filing costs; milestones; delivery and acceptance criteria; and cancellation and refund provisions.
It must also identify the earliest known public disclosure and its evidence, unresolved provenance or similarity issues, any intended filing representation, the applicant and future owner, the filing authority, responsibility for fees, the registration condition, and who completes recordal of an assignment. Any deliberate departure from the standard registration route must be separately explained and accepted. No unlisted voice, trademark, editable source, rig, three-dimensional model or ongoing generation service is included by implication.
Price, payment and taxes
The displayed €4,990 per character is an indicative B2B price excluding applicable VAT, subject to an agreed offer. The final order must state what is included, whether professional review and official filing fees are included or additional, and any separately commissioned production. No additional service or expense may be charged without the buyer's prior agreement.
Payment dates and any deposit are set in the signed order. We do not collect card details through this website. The order will identify the payee and payment method; buyers should verify any changed banking instructions through an established contact. VAT treatment depends on the verified parties and transaction. A reverse-charge treatment is not assumed merely because a buyer supplies a VAT number. Statutory remedies for overdue undisputed invoices remain subject to applicable law and the agreed payment terms.
Provenance and clearance
The current concepts are created using generative AI with human creative direction and selection. This origin must remain accurately described in the product records and transaction documents. The evidence review covers the generation provider, model, creation terms, supplied inputs, human contribution, known disclosures, possible third-party similarities and any licensed components relevant to the proposed use.
Similarity and rights searches have practical limits. They do not establish that no similar work exists anywhere. We will identify material findings and unresolved limitations before the buyer decides whether to proceed. The buyer must identify unusual regulated uses, restricted sectors or jurisdictions that need additional review. Neither party may knowingly provide third-party material without the permissions needed for the agreed work.
Design registration
A design registration concerns the appearance represented in the application, within the applicable law, territory and scope. It is distinct from a trademark protecting a name or sign and distinct from copyright. All current catalogue concepts are unregistered. A filing receipt, private certificate or internal record does not establish a verified registered design.
Where eligible and agreed, an application follows the conditional agreement. Registration is not guaranteed, and a registration may later be challenged. The order must define the filing representation and applicant, how objections are handled, any cost ceiling and the latest completion date. The relevant official result and ownership must be verified before an order represents registered rights as transferred.
The earliest legally relevant disclosure can precede this website. A qualifying EU disclosure grace period may be available, but its application needs individual legal assessment. Uploading again, removing a page or changing a file does not reset the date. A private generation date is not automatically a public disclosure date; each is documented separately.
Rights assignment
Only rights the seller owns and is legally permitted to transfer can be assigned. Copyright in AI-generated content is not presumed to exist or belong to the seller. Any qualifying human-authored contributions and their chain of title must be identified. Rights that cannot be assigned are addressed only through a legally available, expressly agreed licence or consent.
The final assignment identifies the relevant rights, assets, territories, term, permitted exploitation, sublicensing and transfer powers, exclusions and consideration. It takes effect at the agreed completion milestone after the required conditions and payments are satisfied. Transfer of a registered design may require separate signed documentation and official register formalities. Each party must cooperate reasonably in the agreed formalities.
Delivery of a file alone is not proof of an assignment. Conversely, a contractual assignment does not create rights that the law does not recognise. The completion package must distinguish the agreement, delivered files, licence evidence and official registration or recordal evidence.
Contractual exclusivity
The intended one-buyer policy means that, upon completion, Skylumina GmbH will not sell or commercially license the same identified character package to another buyer within the agreed exclusivity scope. The order must state whether and how variations, pre-existing components, retained portfolio use and commissioned adaptations are covered. Any permitted continued seller use must be expressly disclosed and agreed.
This contractual promise binds the seller; it is not a worldwide monopoly against independently created similar characters. It does not override third-party licences or automatically protect a working name. The slogan One character. One owner. describes this inventory policy and the agreed exclusive rights, subject to the actual legal scope in the signed order.
Files and additional services
The delivery manifest states file formats, resolution, aspect ratios, versions and agreed technical characteristics. Static concept images can be useful creative inputs without being animation-ready production assets. They do not inherently include a consistent multi-view model, a skeleton or rig, layered source files, vector artwork, a trained model, API access, prompts, software subscriptions or unlimited future generations.
The ability to upload files into another tool depends on that tool's current capabilities and terms, as well as the buyer's rights. Consistent identity, anatomy, lip synchronisation and reproducibility across future models cannot be assumed. Any required animation, expression range, recurring video identity or campaign output must have measurable deliverables and its own acceptance tests. A demonstration clip is illustrative and does not establish compatibility with every production workflow.
Voices, human likeness and names
A sample voice is excluded from the sale unless a separate schedule identifies the source and expressly grants the needed commercial use, reproduction, sublicensing, transfer and any exclusivity. A generated voice must not be described as exclusive merely because a sample was generated. Real performers' consent and personality rights require separate evidence where relevant.
Human-looking concepts are fictional synthetic personalities. They are not intended to copy or imply endorsement by a real person. Unexpected resemblance must still be assessed; fictional intent is not a clearance result. Character names and brand or trademark protection are excluded unless the order expressly includes the relevant clearance and rights.
Delivery, inspection and correction
Delivery occurs through the agreed secure method, with a manifest and rights documents. The order must set an achievable delivery date or milestone and a reasonable inspection period suited to the assets. The buyer should report a specific missing item, technical defect or agreed criterion that is not met, with enough information to reproduce the issue.
The seller will assess a substantiated non-conformity and propose correction or replacement within a reasonable agreed period. A materially different character cannot be substituted unilaterally. If an agreed essential defect cannot be remedied, the parties will apply the agreed proportionate price reduction or termination and refund route, without excluding mandatory remedies. Silence alone does not waive a hidden title issue or rights that cannot lawfully be excluded.
Failed registration, cancellation and refunds
The conditional order must state the outcome if eligibility is not established, registration fails, a material third-party concern arises, or a condition is not satisfied by the agreed deadline. No registered-rights sale completes when its registration condition has failed. The buyer may accept an alternative only through a separate informed agreement; no licence-only substitute is imposed automatically.
Unless a signed order lawfully and expressly provides otherwise, termination for an unmet registration condition returns purchase payments for the undelivered character package. Only separately authorised, itemised professional work or official fees that have actually been incurred and were clearly identified in advance as non-refundable may be deducted. Unspent advances for those costs are returned. Refunds are due within 14 calendar days after the termination and calculation are confirmed, without unjustified delay or an open-ended internal approval condition.
Either party may terminate for a material breach that remains unremedied after written notice and a reasonable cure period, normally 14 calendar days unless the circumstances justify another period. Immediate termination may be appropriate for an irremediable serious breach. The consequences for delivered work, paid licences, confidentiality and surviving rights must be resolved under the order and applicable law; termination is not a right to retain both the full price and unprovided performance.
Responsibilities, liability and claims
Each party remains responsible for its contractual obligations and applicable law. The seller is responsible for the representations and commitments it actually makes and for disclosing known material rights limitations. The buyer is responsible for the legality of its own campaigns, supplied material and uses outside the agreed scope. Neither party receives a blanket indemnity for its own misconduct.
No sales, audience growth, resale value or investment return is promised. Subject to mandatory law, liability is assessed under the applicable rules on fault, causation, proven loss and reasonable mitigation. These provisions impose no universal monetary cap and does not exclude liability for fraud, deliberate misconduct or other liability that cannot lawfully be limited. Any negotiated limitation must be proportionate and legally reviewed for the actual transaction.
Notify a suspected rights claim promptly with the character ID, affected material, claimant and available evidence. Both parties should preserve relevant records and cooperate in a reasonable response. No party may settle a claim on the other's behalf, admit the other's liability or incur material defence expenses for the other without authority. Affected listings may be suspended while a concern is investigated.
Website use, confidentiality and privacy
Viewing a concept or submitting an enquiry gives no commercial exploitation licence. Visitors may browse and evaluate the catalogue for a possible business purchase. Any restriction applies only to rights the seller holds and cannot override lawful exceptions. Do not impersonate another buyer, upload unlawful material, misuse the form, interfere with service security or attempt to access confidential information.
Non-public production files, negotiations and business information marked confidential or reasonably understood to be confidential must be used only for evaluating and performing the transaction. This does not cover information independently developed, lawfully obtained elsewhere, already public without breach or required to be disclosed by law. Approved publicity and portfolio use need express agreement. Personal data is handled as described in the separate Privacy Policy; an enquiry is not marketing consent.
Marketplace, changes and disputes
The proposed trading marketplace is not operational. No trading account, resale mechanism, liquidity or transfer service is supplied by this website. A future marketplace would require its own approved service scope and contractual provisions before use.
Website information may be updated prospectively. Changes to these terms do not rewrite an existing signed order. If a provision is unenforceable, the remaining agreement applies only so far as legally permissible; it is not automatically replaced by the broadest seller-favouring provision.
The proposed B2B contract is governed by Belgian law, without depriving a party of mandatory protections that remain applicable. The parties should first attempt to resolve a dispute through their authorised business contacts. Failing resolution, jurisdiction is determined by the applicable procedural and jurisdiction rules unless a valid, specifically agreed forum provision applies. These proposed purchase terms do not impose compulsory private arbitration or an exclusive forum by website use alone.
